Terms and Conditions

[Chapter 1 General Provisions]

Article 1. Purpose

This terms and conditions aim to stipulate all matters concerning the conditions of membership and use of the Chambit Bookclubs (www.bookclubs.co.kr, or application, hereinafter referred to as "Chambit Bookclubs") provided by Chambit Education Inc. (hereinafter referred to as "the Company") and the rights, duties, and other necessary matters between the company and users (hereinafter referred to as "members").

Article 2. Effectiveness and Modification of Terms and Conditions

• - "The Company" will post these terms on the initial service screen so that "members" can easily know them.
• - "The Company" can amend these terms within the scope that does not violate related laws such as the "Act on Regulation of Terms," "Act on Promotion of Information and Communication Network Utilization and Information Protection, etc. (hereinafter referred to as "Information Communication Network Act")."
• - If "the Company" amends the terms, it will announce the effective date and reasons for amendment along with the current terms in the manner of paragraph 1 from 7 days prior to the effective date until the day before the effective date. In addition, if the amendment is disadvantageous to "members," a separate clear notice will be given through electronic means such as in-service emails, consent windows at login, etc.
• - If "the Company" announces or notifies the amended terms as described in the preceding paragraph and clearly notifies "members" that if they do not express their intention within 30 days, it will be regarded as their consent, and "members" do not explicitly express their rejection, it is considered that "members" have consented to the amended terms.
• - If "members" do not agree to the application of the amended terms, "the Company" cannot apply the content of the amended terms, and in this case, "members" may terminate the use contract. However, if there are special circumstances where the existing terms cannot be applied, "the Company" may terminate the use contract.

Article 3. Rules Outside the Terms

• - "The Company" may establish separate terms or operational principles (hereinafter referred to as "Usage Instructions") for individual items within the service if necessary.
• - If the content of these terms and "Usage Instructions" specific to a service conflict, the content of "Usage Instructions" specific to the service will prevail.
• - Matters not specified in these terms shall be interpreted and applied according to separate detailed terms or notices of "the Company," the Basic Telecommunication Law, the Telecommunications Business Act, other related legal provisions, the intent of these terms, and general practices in the same industry.

Article 4. Definition of Terms

The definitions of the terms used in these terms are as follows.

• - "Chambit Bookclubs" is an online program that "the Company" provides to users in the form of online ebooks and related content on internet-connected computers, mobile devices, and other devices.
• - "Service" refers to all services related to "Chambit Bookclubs" provided directly or in conjunction with affiliates by "the Company" to "members," including paid online services and all related services (coaching, materials, etc.).
• - "User" refers to both members and non-members who access the site in accordance with the terms and receive services.
• - "Member" refers to those who have registered personal information and use the services provided by the company.
• - "Associate member" refers to a member whose use of related services of Chambit Bookclubs is restricted for reasons such as cancellation of "service" use or not applying for extension after the expiration of the use period.

Article 5. Specification, Explanation, and Revision of Terms

• - “The Company” posts on the initial service screen so that “Users” can easily know the contents of these terms, company name, representative's name, address of the place of business (including the address where consumer complaints can be handled), telephone number, facsimile number, email address, business registration number, mail-order business report number, personal information manager, etc. However, the contents of the terms can be made available through a connection screen.
• - “The Company” may amend these terms within the scope that does not violate related laws such as the Consumer Protection Act in Electronic Commerce, Act on Regulation of Terms, Basic Act on Electronic Commerce, Electronic Signature Law, Act on Promotion of Information and Communication Network Utilization, Act on Door-to-Door Sales, Consumer Protection Act, etc.
• - If “The Company” amends the terms, it will post the amended terms along with the current terms on the initial screen of “The Company” from 7 days before the effective date to the day before the effective date, specifying the effective date and reasons for amendment.
• - However, if the content of the terms is changed to the disadvantage of “members,” a notice period of at least 30 days will be provided in advance. In this case, “The Company” will clearly compare the contents before and after the amendment to make it easy for “members” to understand.
• - Matters not specified in these terms and the interpretation of these terms shall follow the Consumer Protection Act in Electronic Commerce, Act on Regulation of Terms, consumer protection guidelines set by the Fair Trade Commission, and related laws or customary laws.

[Chapter 2 Contract Formation]

Article 6. Formation of Contract

• - The service contract is concluded by checking the box [I agree to the terms and conditions] at the time of application, which indicates your consent to the contents of these terms and conditions.

Article 7. Service Application

• - “Users” who wish to join as “members” and use the services must provide all relevant information (ID, password, name, contact number, etc.) requested by the company.
• - All “members” must provide their own information to use the service, and “members” who have registered false information or used another person’s information cannot assert any rights related to the service use and may be punished according to the law.
• - Membership registration must be made with genuine information of the person, and the company may take measures to verify the information registered by the members. “Members” must actively cooperate with the company’s verification measures, and if not complied, the company may treat the information registered by the member as false.
• - In the case of administrators who have joined the “service” for institutions, they can proceed with member registration for affiliated “users” en masse through the Chambit Bookclubs LMS system.
• - Affiliated “users” of the institution can access the site with the “ID” provided by the institution, and at this time, “the Company” notifies the items, purposes, and retention period of personal information collection through the initial service screen or news.

[Chapter 3 Service Provision and Use]

Article 8. Service Provision

• - The “service” of “Chambit Bookclubs” is based on a paid service that institutions or individuals can use by paying a fee.
• - “The Company” provides the following through “Chambit Bookclubs” to “members” who have paid fees:
• ① Web content, ebooks, animations, etc., provided through digital platforms such as web and mobile
  ② Material and coaching management services
  ③ Any other services provided by “The Company” through additional design or through partnership agreements with other companies
• - The content “service” provided through digital platforms such as web and mobile is available 24 hours a day, 365 days a year, as a principle. However, services based on manpower, such as coaching management, are provided at specified times.
• - “The Company” may temporarily suspend all or part of the “service” without prior notice if unavoidable reasons occur such as urgent system maintenance, expansion and replacement, equipment malfunction, service usage surge, national emergency, power outage, etc.
• - “The Company” may limit or suspend all or part of the “service” if normal service provision is impossible due to national emergency, power outage, service facility malfunction, or service usage surge, etc. However, in such cases, the details will be notified in advance or afterward.
• - “The Company” may suspend all or part of the “service” provision after prior notice to “members” if necessary for service restructuring or operational reasons.
• - “The Company” cannot provide prior notice if the “service” suspension is due to reasons beyond the control of “The Company,” and does not notify in cases such as system suspension due to the intent or negligence of others.
• - “The Company” may change all or part of the services it provides as needed for operational and technical reasons, provided there is a valid reason.
• - If there is a change in the content, method, or time of use of the “service,” the reason for the change, the content of the “service” to be changed, and the date of provision will be posted on the initial screen of the relevant “service” before the change.
• - “The Company” may modify, suspend, or change part or all of the services provided for free if necessary for policy and operational needs of “The Company,” and no compensation is provided to “members” unless there are special provisions in the related laws.

Article 9. Fees and Paid Information, etc.

• - Fees for separate paid services provided by “The Company” and its partners must be paid according to the fees specified on the homepage's service-specific “Usage Instructions” or the relevant information.
• - Service usage fees are subject to change from time to time, and no price protection or refunds are provided in the event of a price reduction or special price and promotion proposal.
• - No separate fee is charged again to “users” affiliated with educational institutions that have paid the usage fee for the institutional “service.”

Article 10. Service Use

• - While enrolled in the “service,” “The Company” grants all “members” the right to access the service and read ebooks and learn content.
• - Use of the “service” is possible only within Korea.
• - “Users” cannot reproduce, transfer, distribute, modify, display, publish, or recreate as secondary works any ebooks and related content and information related to “Chambit Bookclubs” without the prior permission of “The Company” under any circumstances.
• - Also, all functions and data related to “Chambit Bookclubs” must not be weakened, damaged, or illegally collected or extracted in any manner. Violation of these terms of use or participation in illegal use may result in permanent restrictions on the use of the “service.”
• - Rights, ownership, or proprietary rights of “Chambit Bookclubs” are not transferred to members.
• - Intellectual property rights, including copyrights on ebooks provided by “Chambit Bookclubs,” belong to domestic and foreign publishers contracted with Chambit Education Inc.
• ① Intellectual property rights, including copyrights of WONDERS ebooks, belong to McGraw-Hill Publishing.
  ② Intellectual property rights, including copyrights of LEAD21 ebooks, belong to McGraw-Hill Publishing.
  ③ Intellectual property rights, including copyrights of ABDO ebooks, belong to ABDO Publishing.
  ④ Intellectual property rights, including copyrights of Everybook ebooks, belong to Hub One C.
• - “Users” and “members” cannot arbitrarily use the trademarks or brands (images) owned by each company that owns the ebook copyrights. If necessary, inquire in advance and use it only in compliance with the rules provided by “The Company.”
• - “Users” and “members” must faithfully comply with all relevant laws, rules, regulations, or the use of content provided by “Chambit Bookclubs” while using the “service.”

Article 11. Members' Posts

• - “The Company” may delete, move, or refuse registration of information such as text, documents, images, voices, or combinations thereof (hereinafter referred to as "posts") created, posted, or registered by “members” within the “service” without prior notice if it judges that the posts correspond to any of the following:
• ① If it slanders others or damages their honor
  ② If it violates public order and morals
  ③ If it is deemed to be involved in criminal activities
  ④ If it infringes on the copyrights or other legally protected rights of “The Company” or others
  ⑤ If it exceeds the posting period specified by “The Company”
  ⑥ If “members” post pornography or link to pornographic sites
  ⑦ If it violates the posting principles specified by “The Company” or does not fit the nature of the bulletin board
  ⑧ If it interferes with the normal operation of the services provided by “The Company”
  ⑨ If it contains content for commercial advertising purposes
  ⑩ If it is judged to violate other laws
• - If “members'” posts include content that violates the "Act on Promotion of Information and Communication Network Utilization and Information Protection," "Copyright Act," or other related laws, the right holder may request the suspension of posting or deletion of the posts according to the procedure prescribed by related laws, and “The Company” will take actions as prescribed by law.

Article 12. Copyright of Posts

• - The copyright of “posts” posted by “members” within the service belongs to the authors of the respective posts.
• - “The Company” cannot use the “posts” posted by “members” within the service for profit-making purposes without the posters' consent, except when “The Company” uses them non-commercially or for providing diverse services to “members” in connection with this “service” or related to this “service” as long as the original “posts” or the materials included in the posts are not substantially altered, modified, or edited. Even in this case, members can take actions such as deleting, moving, or making private the relevant posts through the customer center or management function within the service.
• - The copyrights and other intellectual property rights of the works produced by “The Company” are vested in the company.
• - “Members” cannot reproduce, transmit, publish, distribute, broadcast, or use for profit-making purposes, or allow others to use information obtained by using the “service” that includes information where intellectual property rights are vested in “The Company” or third parties without the prior approval of the company.

Article 13. Advertisement Placement and Transactions with Advertisers

• - “The Company” may place advertisements in the form of banner ads, etc., during the provision of the service or through emails sent to “members.”
• - “Members” participate in promotional activities or transactions with advertisers according to the first clause at their own risk, and “The Company” does not bear any responsibility for any damages or losses that occur to either party during the transaction or negotiation process between advertisers and members.

[Chapter 4 Membership Registration, Information Change, and Membership Withdrawal]

Article 14. Membership Registration

• - “Users” apply for membership by sincerely filling in the member information according to the form set by “the Company” and agreeing to the terms, and “the Company” accepts the membership after the real-name verification process prescribed by “the Company.”
• - Users who do not enter their real names or actual information when entering member information cannot be legally protected and may be restricted from using the service.
• - “The Company” may refuse to accept membership in the following cases:
• ① If not applied under one's real name, or if there are falsehoods, omissions in the entry
  ② If applied using another person's name
  ③ If there is a history of losing membership qualifications set by “the Company”
  ④ If applied for the purpose of jeopardizing public peace and order or good morals
  ⑤ If unauthorized use or theft of another's credit card, wired/wireless phone, bank account, or other payment methods, or unauthorized use of payment methods occurs in using “the Company’s” “service”
  ⑥ If other application requirements set by “the Company” are not met
  
• - “The Company” may restrict the acceptance of the application for the following reasons and can hold off acceptance until the reason is resolved.
• ① If there is no spare capacity in the service-related equipment
  ② If technical malfunctions or operational obstacles occur that prevent immediate acceptance of the application
  ③ If supplementation is deemed necessary during the application request
• - In cases where acceptance of the application is held off or not accepted according to clauses 3 or 4 of this article, the company must notify the applicant. However, if it is not possible to notify the applicant due to reasons not attributable to the company, it is an exception.

Article 15. Membership Withdrawal, Loss of Qualifications, and Service Use Restrictions

• - “Members” can apply for membership withdrawal at any time through customer support, FAQ, etc., on the initial service screen, and “the Company” must process this immediately according to the relevant laws.
• - When “members” terminate the contract, all data of the member is destroyed immediately, except in cases where “the Company” retains member information according to relevant laws and privacy policy.

Article 16. Protection of Personal Information

“The Company” makes efforts to protect “members'” personal information including registration information in accordance with the provisions of relevant laws.
“Members'” personal information protection is subject to the relevant laws and the personal information protection policy set by “the Company.” “The Company” must obtain the consent of the “user” if personal identifiable information is collected.
The provided personal information cannot be used for purposes other than the intended purpose or provided to third parties without the “user's” consent, and “the Company” is responsible for this.

However, the following cases are exceptions:
• ① When informing a minimum of “users'” information (name, address, phone number, mobile phone number) necessary for the delivery of service goods or event prizes
  ② When used for the purpose of statistics compilation, promotional materials, academic research, or market research, etc., and it is provided in a form that does not identify specific individuals
  ③ When used for improving the quality of services provided by “the Company,” such as in partnership services with business partners, identity verification services, payment, customer support, etc., using a minimum of information (name, address, date of birth, phone number, mobile phone number)
• - If “the Company” needs to obtain the “user's” consent according to clauses 2 and 3, the purposes of information collection and use, information provision related matters to third parties (recipient, purpose of provision, and contents of provided information), and other matters prescribed in clause 3 of Article 16 of the Act on Promotion of Information and Communication Network Utilization and Information Protection, etc., must be specified or notified in advance, and users can withdraw this consent at any time.
• - “Users” can request to view and correct errors in their personal information held by “the Company” at any time, and “the Company” has an obligation to take necessary actions without delay. If “users” request correction of errors, the company does not use the personal information until the error is corrected.
• - “The Company” minimizes the number of administrators to protect personal information and is responsible for all damages caused by loss, theft, leakage, alteration, etc., of users' personal information including credit cards, bank accounts, etc. “The Company” or third parties who have received personal information will destroy the personal information immediately once the purpose of information collection or provided purpose is achieved.
• - “The Company” outsources part of its work to provide convenient and better services, and supervises/manages the outsourced company to process personal information safely according to the Information Communication Network Act.

In addition to the above trustees, the company uses analysis tools such as Google Analytics and Naver Analytics for service use and statistical analysis purposes.

Article 17. Notification to Members

• - When “the Company” makes notifications to members regarding service changes, member sanctions, etc., it can do so through the personal contact details such as phone numbers, email addresses, etc., submitted by “members” to “the Company.”
• - “The Company” can substitute individual notifications by posting on the company's website notice board for more than one week in the case of notifications to an unspecified large number of “members.” However, in cases related to transactions affecting members personally, individual notifications can be made.

[Chapter 5 Duties of Contract Parties]

Article 18. Company's Duties

• - “The Company” shall not engage in prohibited activities by the law and these terms and must make the best efforts to provide services continuously and stably as prescribed by these terms.
• - “The Company” strives to ensure that “members” can safely use company services.
• - If opinions or complaints from “members” are received, “the Company” must handle them immediately after an objective assessment and following proper procedures. If immediate processing is difficult, the reason and processing schedule must be communicated.

Article 19. Member's Duties

• - “Members” must write all items based on truth in their own genuine information when applying for membership or changing member information, and the company is not responsible for any problems arising from registering false information or others’ information.
• - “Members” must comply with the matters prescribed in the terms, other regulations set by the company, announcements, matters announced by the company, and related laws, and must not engage in acts that interfere with the company’s business, damage the company’s honor, or cause harm to others.
• - “Members” must not engage in any activities that violate copyrights, distribute pornography, or act against public morals and customs while using the service, and all damages and responsibilities arising from such activities are borne by the member.
• - Except where “the Company” is responsible according to related laws and the privacy policy, the responsibility for maintaining and managing the member ID and password lies with each “member.”
• - “Members” must not transfer, lend, or allow others to use their ID and password, and the company is not responsible for any problems arising from violation of this provision.
• - “Members” are responsible for maintaining and managing their ID and password and are fully responsible for all results arising from using their ID and password.

[Chapter 6 Contract Termination]

Article 20. Service Termination and Use Restriction

“Members” can apply for service termination through the website or “the Company's” customer support.

• [Institutional Members]
• - Institutional “members” who have paid fees to use the service or registered through a free trial of the institution and do not renew after the service period ends or cancel the use, all “members” affiliated with the institution automatically become “associate members” and service use is restricted.
• - If the institution reapplies for paid service after conversion to “associate member,” the original institution code, administrator account, registered member account, and all learning data of the members can be continued.
• - If there is no site access record for an administrator account converted to “associate member” for one year, the administrator account and all affiliated member accounts will be terminated, and all institution codes and member information will be immediately deleted.
• - Administrator accounts and all “member” accounts affiliated are immediately deleted, including all member data containing personal information, upon member's request for withdrawal.
• 
  [Individual Service Members]
• - “Members” who have paid for the “service” and do not apply for an extension after the service period or the free trial period ends automatically become “associate members.”
• - Service use is restricted for “associate members” who have been converted.
• - “Associate members” can continue using their existing accounts and learning information if they reapply for paid service.
• - If there is no site access record for “associate members” for one year after conversion, they are automatically withdrawn, and all member data, including personal information, is immediately deleted.
• - “The Company” may restrict or suspend membership if “members” fall under the following reasons:
• ① If false content is registered at the time of application
  ② If it threatens the order of electronic commerce by interfering with others' use of “the Company” or stealing their information
  ③ If it violates the terms, including other regulations set by “the Company,” or is objectively judged to be associated with crime
  ④ If it acts in ways that include distributing pornography or violent messages, images, voices, or other acts against public morals
  ⑤ If it illegally uses or appropriates others' personal information or contact details or deliberately cuts off contact with the company
  ⑥ If there is a correction request from information ethics committees or other related public organizations or copyright holders for rights protection
  ⑦ If it intentionally interferes with the business activities of “the Company”
• - If “the Company” restricts or suspends membership and the same act is repeated three or more times or if the reason is not corrected, it may be deemed malicious and “the Company” may revoke membership.
• - All personal information of “members” is immediately destroyed upon request for withdrawal by “members.”

[Chapter 7 Fees Payment and Refund]

Article 21. Types and Methods of Payment of Fees

The types and amounts of fees for the use of the “service” and the method of payment are subject to change from time to time according to the “Usage Instructions” policy of “the Company,” and this will be notified through the 'Usage Instructions' on “the Company's” website.

• [Institutional Members]
• - The payment of fees for the institutional “service” is based on prepayment every month through the payment methods provided by “the Company.” Fees charged to the institution are billed only to the head or manager of the institution, and the monthly usage fee includes services for all “members” such as teachers and students affiliated with the institution. No separate fee is recharged to other “members” except the institution's head or manager.
• - In the case of “members” using “the Company's” “service” through an educational company operating several educational institutions, the method of payment will follow the clauses of the contract between the educational company and “the Company.”
• 
  [Individual Service Members]
• - The payment of fees for “services” for individual members is based on prepaying a certain amount for a usage voucher for several months through the payment methods provided by “the Company,” and the usage period is deducted according to the use period after the purchase.
• - “Users” must complete membership registration within a certain period after purchasing the voucher according to the method provided by “the Company,” and the use of the voucher begins after the free trial period provided by “the Company” has passed.
• - After the use of the purchased voucher has started, a suspension request can be made once before the end of the voucher period.
• - The suspension period cannot exceed the number of months of the purchased voucher, and during the suspension period, the member is converted to an “associate member” and the service use is restricted.
• - If “members” are unable to use the “service” due to their own circumstances, the use of the voucher cannot be deferred, and regardless of the actual use by the “member,” the voucher is deducted according to the period.

Article 22. Objection Application

• - “Members” must apply for an objection within one month from the date of use of the “service” if there is an objection to the fee.
• - “The Company” will reply to the received objection application within two business days after receipt. However, if it is difficult to reply within the period for the objection application mentioned in the previous paragraph, the company will inform the customer of the possible schedule for reply, and “the Company” will take measures to prevent any disadvantage from occurring.
• - If there is an overpayment or underpayment in the fees paid by “members,” “the Company” will adjust the difference according to the company's regulations.

Article 23. Refund of Fees

You can receive a refund for the service fee according to the following criteria:

• - It is possible to withdraw the subscription within 7 days from the day the goods and services are supplied.
• - If “members” withdraw the subscription, they must return the goods supplied by “the Company,” and the company will refund the payment received within three business days after the cancellation of the voucher and receipt of the goods. However, if the goods cannot be collected due to the customer's fault, no refund will be made, and the necessary expenses for return will be borne by the 'member.'
• - If “members” want a refund, they must express their intention to the company through the company website or by phone, and the company will receive the refund request, confirm the member's request and refund regulations, and refund the money within three business days. However, delays may occur due to external circumstances outside the responsibility of the company, and the company is not responsible for such delays.
• - If the voucher payment is made through other distribution channels, unless otherwise specified, the refund regulations of the final sales place apply.

[Chapter 8 Compensation for Damages and Other Matters]

Article 24. Compensation for Damages

• -“The Company” does not assume any responsibility for any damage that is not specified in the content defined by the personal information protection policy regarding the use of the “service” by “members.”
• -“The Company” does not assume any responsibility for all damages and legal liabilities related to the use of the “service” by “members” unless it is a criminal act committed intentionally.

Article 25. Exemption Clause

• - Liability is exempted in cases where service inspection is unavoidable and has been announced in advance.
• - “The Company” is not responsible for the inability to provide the “service” due to force majeure equivalent to natural disasters.
• - “The Company” is not responsible for service use disturbances caused by the fault of “members” or third parties.
• - “The Company” does not assume responsibility for the contents of materials or information obtained by “members” through the “service” or posted by “members.”
• - “The Company” is not responsible for damages caused by the intentional or negligent use of the “service” by “users.”
• - Responsibility for damages arising from the use of personal information due to negligence in use lies with the “members.”

Article 26. Dispute Resolution

• - “The Company” and “members” must make all efforts to amicably resolve disputes related to the service.
• - If “the Company” needs to notify “members,” it can do so through the email or phone number text transmission registered by “members” with “the Company,” and if “the Company” needs to notify an unspecified large number of “members,” it can substitute individual notifications by posting on the notice board for more than seven days.

Article 27. Jurisdiction and Governing Law

• - Matters not specified in these terms are subject to the telecommunications business laws of the Republic of Korea and customary laws.
• - In the event of a lawsuit arising from the use of the “service,” the court having jurisdiction over the location of “the Company's” head office shall have jurisdiction.
